Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of BackStage OS (also referred to as “Backstage360”, the “Service”), operated by Togo Tech Ventures Private Limitedunder its Backstage Advisors brand (“Togo Tech”, “we”, “us”, or “our”). By creating a workspace, accepting an invitation, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

BackStage OS is a business-to-business software product that helps an organisation record and manage its transformation backlog — pain points, business capabilities, initiatives, providers, requirements, outcomes, and the gaps between current and target state. The Service operates on two principles you should understand:

  • Link, don’t store. The Service stores structured records and links (URLs) to your documents. It does not host, upload, or store the documents themselves.
  • Track, don’t author. The Service tracks and connects work; it does not author your decks, contracts, or deliverables, and it is not a system of record for your legal or financial books.

2. Eligibility and accounts

The Service is intended for use by organisations and their authorised personnel for business purposes, and is not directed at consumers or anyone under 18. You must provide accurate account information and are responsible for all activity under your account. You are responsible for keeping your credentials confidential and for the acts of every user you invite to your workspace. Notify us promptly of any unauthorised use.

3. Your data and ownership

As between you and us, you own the data you enter into your workspace (“Customer Data”). You grant us a limited licence to host, process, and transmit Customer Data solely to provide and support the Service. Our handling of personal data is described in our Privacy Policy, which forms part of these Terms. Where we act on behalf of a consulting client and their end customer, workspace data is shared with our consulting team only through an engagement that the client has expressly approved inside the Service.

4. Acceptable use

You agree not to, and not to permit any user to:

  • use the Service in violation of any applicable law or third-party right;
  • upload or link to content that is unlawful, infringing, malicious, or that you lack the right to share;
  • attempt to access another tenant’s data, probe or breach security or authentication, or circumvent access controls;
  • reverse engineer, decompile, scrape, or create derivative works of the Service except as permitted by law;
  • introduce malware, or use the Service to send spam or to run marketing or bulk communications;
  • resell, sublicense, or provide the Service to third parties except as expressly permitted.

Our Acceptable Use Policy sets out further rules — including the prohibition on automated scraping and on copying, distributing, or reselling our proprietary content — and is incorporated into these Terms.

5. Plans, trial, and fees

New workspaces begin on a 90-day trial. Paid plans and their features are described in the Service and are arranged directly with our team; the Service does not currently process card payments or charge you automatically. Fees, once agreed, are payable per the applicable order or invoice and are exclusive of taxes unless stated. We may change plans and pricing prospectively; changes will not affect an agreed, in-force subscription term.

6. Intellectual property

The Service, including its software, design, branding, and the Backstage-curated reference content (capability maps, use cases, solutions, benchmarks, and research), is and remains the property of Togo Tech and its licensors. These Terms grant you a non-exclusive, non-transferable, revocable right to use the Service during your subscription; no other rights are granted by implication.

7. Confidentiality

Each party may receive information the other treats as confidential. The receiving party will use it only to perform under these Terms and will protect it with reasonable care. This does not apply to information that is public through no fault of the receiver, independently developed, or required to be disclosed by law (with notice where permitted).

8. Availability and disclaimers

The Service is provided on an “as is” and “as available” basis and is offered as an early-stage product. We do not warrant that it will be uninterrupted, error-free, or that it will meet every requirement, and we make no warranties, express or implied, including of merchantability, fitness for a particular purpose, or non-infringement, to the fullest extent permitted by law. The Service is a tool to support your decisions; it does not provide legal, financial, or professional advice, and you remain responsible for the decisions you make using it.

9. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total aggregate liability arising out of or related to the Service will not exceed the greater of (a) the fees you paid to us for the Service in the twelve months before the event giving rise to the claim, or (b) INR 10,000.

10. Indemnification

You will defend and indemnify us against third-party claims arising from your Customer Data, your use of the Service in breach of these Terms, or your violation of law or third-party rights.

11. Suspension and termination

You may stop using the Service and close your workspace at any time. We may suspend or terminate access for material breach of these Terms, non-payment of agreed fees, or to protect the Service or other users. On termination, your right to use the Service ends; you may request an export of your Customer Data before deletion as described in our Privacy Policy. Sections that by their nature should survive (ownership, confidentiality, disclaimers, liability, indemnity, governing law) survive termination.

12. Changes to the Service or these Terms

We may modify the Service and update these Terms from time to time. When we make material changes we will update the “Last updated” date above and, where appropriate, notify workspace owners. Your continued use after changes take effect constitutes acceptance.

13. Governing law and disputes

These Terms are governed by the laws of India, without regard to conflict-of-laws rules. The courts at Delhi, India will have exclusive jurisdiction over any dispute, subject to any mandatory rights you have under applicable law.
